1. Acceptance of Terms

Welcome to GNR Research ("Company," "we," "our," or "us"). These Terms and Conditions govern your access to and use of our website, services, and platforms. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

2. Our Services

GNR Research provides market research and data collection services across the Middle East and North Africa (MENA) region, including but not limited to:

• Online Surveys: Custom-designed questionnaires deployed to our verified panel
• CATI Services: Computer-Assisted Telephone Interviewing across MENA markets
• Quantitative Research: Large-scale statistical research studies and analysis
• Consumer Insights: Brand tracking, segmentation, and consumer behavior analysis
• Survey Solutions: End-to-end survey design, programming, and deployment
• Data Processing: Data cleaning, coding, validation, and delivery
• Sampling Services: Sample coordination, sourcing, and panel management

3. Client Obligations

As a client of GNR Research, you agree to:

• Provide accurate, complete, and timely project briefs and specifications
• Ensure all research materials comply with applicable laws and ESOMAR ethical guidelines
• Not request data collection methods that violate local regulations or human rights
• Respond promptly to our queries and approval requests during project execution
• Use research deliverables solely for the purposes agreed upon in the project scope
• Not resell or redistribute raw data without prior written consent from GNR
• Maintain the confidentiality of proprietary methodologies and processes

4. Intellectual Property

All intellectual property rights in our proprietary tools, methodologies, survey platforms, coding frameworks, and analytical models remain the exclusive property of GNR Research.

• Client Data: Raw and processed data collected on behalf of the client becomes the client's property upon full payment
• GNR Tools: Our survey platforms, sampling algorithms, quality frameworks, and analytical tools remain GNR's intellectual property
• Reports: Final research reports and insights are licensed to the client for internal business use
• Website Content: All content on gnrresearch.com (text, images, logos, design) is owned by GNR Research

5. Data & Confidentiality

We maintain strict confidentiality standards in all our operations:

• All respondent data is anonymized before delivery to clients
• Client project details are treated as confidential and not disclosed to third parties
• Non-disclosure agreements (NDAs) are available upon request
• Employee access to project data is restricted on a need-to-know basis
• Data is stored on encrypted servers with ISO 27001 certified security
• We comply with GDPR, ESOMAR Code, and UAE Data Protection Law

6. Payment Terms

• Pricing is quoted in USD unless otherwise agreed in writing
• A deposit of 30-50% is required before project commencement
• Remaining balance is due within 30 days of project completion and data delivery
• Late payments incur interest at 1.5% per month on the outstanding balance
• All prices exclude applicable taxes, which will be added to invoices
• Disputed invoice amounts must be raised in writing within 14 days of invoice date
• We reserve the right to suspend services for overdue accounts exceeding 60 days

7. Limitation of Liability

To the maximum extent permitted by law:

• GNR's total liability for any claim arising from a project shall not exceed the total fees paid for that specific project
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for losses resulting from circumstances beyond our reasonable control
• We are not liable for any loss of profit, revenue, business, or data
• Our liability for data breaches is limited to direct damages and regulatory fines

8. Indemnification

You agree to indemnify and hold harmless GNR Research, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Terms and Conditions
• Content or materials you provide for research purposes
• Your violation of any third-party rights or applicable laws
• Misuse of research deliverables beyond the agreed scope

9. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination:

• Outstanding payments for work completed become immediately due
• Client receives all completed deliverables up to the termination date
• GNR retains the right to retain copies of data for legal and archival purposes
• Confidentiality obligations survive termination indefinitely
• Any prepaid fees for uncompleted work will be refunded on a pro-rata basis

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise required by mandatory applicable law.

11. Dispute Resolution

In the event of a dispute, the parties agree to the following resolution process:

1. Good Faith Negotiation: The parties shall first attempt to resolve the dispute through direct negotiation for a period of 30 days
2. Mediation: If negotiation fails, the dispute shall be referred to mediation under the rules of the Dubai International Arbitration Centre (DIAC)
3. Arbitration: If mediation is unsuccessful, the dispute shall be finally settled by arbitration under DIAC rules, with the seat in Dubai

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms. Material changes affecting active projects will be communicated directly to affected clients.
